1 Where can I obtain a copy of the Companies Ordinance?

You can purchase a copy of the Companies Ordinance, Chapter 622 of the Laws of Hong Kong, from the Publications Sales Section of the Information Services Department (政府新聞處刊物銷售小組) by calling (852) 2537 1910 or from the Online Government Bookstore (Website: www.bookstore.gov.hk).

2 What is the One-stop Company and Business Registration Service?

The One-stop Company and Business Registration Service is a service jointly provided by the Companies Registry and the Inland Revenue Department. Any person who applies for incorporation of a local company or registration of a non-Hong Kong company under the Companies Ordinance will be deemed to have made a simultaneous application for business registration. Upon approval of an application for company incorporation or registration, the Companies Registry will issue the Certificate of Incorporation / Registration and the Business Registration Certificate in one go. 3 I was unable to locate the information of an unlimited company at the Companies Registry. Where can I obtain such information?

4 How can I form/cancel a sole-proprietorship or a partnership in Hong Kong?

5 Can I transform my sole-proprietorship or partnership to a limited company?

If you intend to carry on your business in the form of a limited company in Hong Kong, you have to deliver an application for incorporation of a limited company under the Companies Ordinance to the Companies Registry. Please seek professional advice if you have doubt on whether the business registration of your sole proprietorship or partnership should be cancelled.

6 How can I renew the business registration of my company?
