You may download the requisite specified forms free of charge from the 'Forms' - 'Specified Form' section of this website. Hard copies of specified forms can also be purchased at the Information Counter of the Companies Registry, 14th floor, Queensway Government Offices, 66 Queensway, Hong Kong.
Each specified form indicates who should sign the form. In most cases, a director or the company secretary of the company may sign the forms delivered to the Companies Registry for registration. For registered non-Hong Kong companies, the authorized representative may also sign certain forms.
The specified forms should always be signed by the serving officers of a company. If it comes to light that some forms which need to be delivered to the Registrar of Companies have not been registered, the current serving officers may sign the forms. A resigning officer may sign a Form ND2A reporting his resignation as long as the date on which the form was signed is not later than the date of his resignation.
The Companies Registry's specified forms should not be altered or amended. Please deliver the specified forms in their complete format including all the pages with items that do not apply. These pages should also be completed, for example, by stating the company number and 'NIL' or 'N.A.' in the first box for entering information. However, un-used continuation sheets and the 'Notes for Completion' should be detached before delivery.
It is not compulsory to complete the box for 'Presentor's Reference'. However, for Forms NNC1, NNC1G, NNC2, NM1, NM2, NM8, NN1 NN10 and NN12, if clarification or amendment of the form is required, the presentor’s information provided will facilitate communication between the Companies Registry and the presentor of the form. If such information is not provided, the form or correspondence can only be sent to the registered office of the company.
Presentor can choose to provide the telephone no., fax no. or email address in the ‘Presentor’s Reference’. The information provided will facilitate communication between the Companies Registry and the presentor of the form. However, for Forms NNC1, NNC1G, NNC2, NM1, NM2, NM8, NN1, NN10 and NN12, presentors are recommended to provide the email address or fax no. as well so as to facilitate the sending of letter or notification of collection of certificates by email or fax through the Companies Registry’s system.
