There are two specified forms for reporting changes of directors or company secretary of a registered non-Hong Kong company. A Form NN6 is used for reporting appointment or cessation of directors or company secretaries while Form NN7 is used for reporting changes in the particulars of directors or company secretaries. These two forms should be delivered for registration within 1 month after the date of change and no registration fees are required.
You should deliver a Form NN9 to report the change in address of the principal place of business or of the registered office within 1 month after the date of change for registration. No registration fee is required.
For appointment or cessation to act of the authorized representative, you should deliver a Form NN8 for registration within 1 month after the date of change. For change in particulars of an authorized representative, you should deliver a Form NN8C for registration within 1 month after the date of the change. No registration fees are required for both forms.
You should deliver a Form NN5 to report the change in the charter, statutes or memorandum of other instruments defining the constitution of a registered non-Hong Kong company within 1 month after the date of change for registration. The form must be accompanied by a certified copy of the charter, statutes or memorandum (including articles, if any) of the company or any other instruments defining the company's constitution after the change. No registration fee is required.
If the instruments defining the company's constitution are not in Chinese or English, you only need to deliver a certified Chinese or English translation of the documents when you deliver a Form NN5 for registration.
A registered non-Hong Kong company is required to deliver to the Registrar of Companies the relevant specified forms for registration to report the changes within one month after the respective change. Section 791 of the Companies Ordinance provides that if any registered non-Hong Kong company fails to comply with the provisions of the Ordinance, the company and every responsible person and every agent of the company who authorizes or permits the default, commit an offence and each is liable to prosecution and, if convicted, to a fine and, for a continuing offence, to a daily default fine.
You should deliver a Form NN10 with a certified copy of supporting document(s) issued by the relevant government authority in the company's place of incorporation (e.g. certificate of change of name) showing the alteration and the effective date of the alteration within 1 month after the date of alteration. A fee of HK$1,425 has to be paid for the registration of an alteration of name of a registered non-Hong Kong company.

You should deliver a Form NN13 for registration to report the cessation of the place of business of a registered non-Hong Kong company in Hong Kong within 7 days after the cessation. No registration fee is required.
